1. Agreement to these terms

These Terms of Service (“Terms”) govern access to and use of the Jomioz website (including jomioz.com and its subpages), the Jomioz web and mobile software and related services (together, the “Service”) offered by the Jomioz team (“Jomioz,” “we,” “us,” or “our”).

By creating an account, using the Service, or continuing to use the Service after we post changes, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” includes that business.

2. The Service

Jomioz provides a cloud software platform to help service businesses run operations such as scheduling, job and customer management, documents, and related workflows. We may add, change, or discontinue features, integrations, or plans to improve the Service, comply with law, or manage security and cost.

We will use reasonable efforts to keep the Service available, but the Service is not fault-free and is not a substitute for your own business, legal, tax, or safety judgment. Unless we separately agree otherwise in writing, Jomioz does not provide a service level agreement, guaranteed uptime commitment, or guaranteed response time under these Terms.

Downtime, data loss, or third-party failures may occur. We may perform reasonable operational backups and recovery measures as part of running the Service, but you should keep your own copies or exports of records that are critical to your business, compliance, or customer relationships.

3. Accounts and eligibility

You must be of legal age in your place of residence to use the Service. You must provide accurate account and billing information and keep it current. You are responsible for all activity on your account and for maintaining the security of your credentials. Notify us promptly at info@jomioz.com of any suspected unauthorized use.

4. Plans, fees, and trials

Paid use of the Service is subject to the plan, price, and billing period you select (or that applies to you). Unless we say otherwise, fees are non-refundable except where required by law. Taxes, duties, and payment processor fees may apply. If you are on a free trial, its length and what happens when it ends are as shown in the product or order flow at signup.

5. Your data and our license to operate the Service

You keep ownership of the business data, files, and content you or your end users provide (“Customer Data”). You give Jomioz a worldwide, non-exclusive license to host, process, back up, display, and otherwise use Customer Data as needed to provide, secure, and improve the Service, and to generate aggregated, de-identified statistics that do not identify you or any person.

We handle personal data as described in our Privacy Policy, which is incorporated by reference. You are responsible for having any rights and consents needed to process personal data of your team and your customers in the Service.

Where Jomioz acts as a processor for a business customer’s personal data, that customer may require data processing terms. If you need a Data Processing Agreement or similar privacy or security documentation for your procurement or compliance process, contact us at info@jomioz.com.

6. Acceptable use

You will not: (a) use the Service in violation of law or rights of others; (b) upload malware or attempt to breach our or others’ security; (c) use the Service to send unlawful spam; (d) try to access non-public areas or other customers’ data; (e) resell, scrape, or reverse engineer the Service except where applicable law does not allow this restriction; or (f) use the Service in a way that we reasonably believe harms us, other customers, or the public. We may suspend or terminate access for breach.

7. Assistive and AI features

If the Service offers drafting, summarization, or similar assistive or AI features, they are tools to help you; outputs may be wrong or incomplete. You remain solely responsible for reviewing, editing, and using any content before you rely on it with customers, regulators, or in contracts.

8. Beta, preview, and early access features

From time to time we may label features or parts of the Service as beta, preview, pilot, early access, waitlist, or similar. These features may be incomplete, unstable, changed materially, or discontinued at any time, and may be subject to additional usage limits or notices.

Beta or early access features are provided for evaluation and product improvement purposes and may have reduced support, security hardening, documentation, or compatibility compared with generally available features.

9. Third-party services and integrations

The Service may connect to or embed third-party services (e.g. payments, mapping, or identity). Those services are between you and the third party, under their terms and privacy policies. We are not responsible for their availability, fees, or actions.

10. Support

We may provide onboarding, help, and support through documentation, email, in-app messaging, or other channels we make available from time to time. Unless we expressly agree otherwise in writing, support is provided on a commercially reasonable basis only, and we do not guarantee any particular support hours, response times, or resolution times under these Terms.

11. Jomioz intellectual property

Jomioz and its licensors own the Service, the software, the brand, and our documentation. Except for the limited right to use the Service under these Terms, you receive no rights. You may not remove our notices, copy our look and feel in a way that causes confusion, or use our name or logo except as we expressly allow in writing.

12. Disclaimers and limitation of liability

To the maximum extent allowed by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. We do not warrant uninterrupted service, error-free output, or fitness for a particular purpose.

To the maximum extent allowed by law, Jomioz and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from these Terms or the Service. Our aggregate liability for any claim is limited to the greater of the fees you paid to Jomioz for the Service in the twelve (12) months before the event giving rise to the claim, or one hundred (100) euros, except where the law does not allow such a cap.

13. Indemnity

You will defend and indemnify Jomioz, its officers, and employees against third-party claims, damages, and costs (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.

14. Term, suspension, cancellation, and termination

These Terms apply while you use the Service. You may stop using the Service at any time. If you are on a paid plan, cancellation will generally take effect at the end of the current paid billing period unless we say otherwise in the product, your order form, or applicable law.

We may suspend or end access for operational, legal, billing, abuse-prevention, or security reasons, or for repeated or material breach. Where reasonably practicable, we will try to provide notice before suspension or termination, but we may act immediately where needed to protect the Service, other customers, or comply with law.

Before the end of an active subscription, and for a reasonable period after termination or non-renewal where technically and operationally feasible, you should export any Customer Data you need. We do not promise indefinite post-termination hosting or retrieval of Customer Data unless we separately agree otherwise in writing. Provisions that by nature should survive (for example, ownership, limitations of liability, indemnity, and payment obligations accrued before termination) will survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction of the Jomioz contracting entity identified in your order form, invoice, or other written agreement with Jomioz, without regard to choice-of-law rules that would apply another law. If no separate written agreement identifies a different contracting entity, disputes relating to use of the public website will be governed by the laws and courts having jurisdiction over the Jomioz service provider operating that website.

Except where applicable law requires otherwise, the courts with jurisdiction over that Jomioz contracting entity will have exclusive jurisdiction, except that either party may seek interim or injunctive relief in any court of competent jurisdiction where necessary to protect rights.

16. Changes; contact

We may update these Terms by posting a new version on the website and updating the “Last updated” date. If a change is material, we will take reasonable steps to inform you (for example, by email or in-app notice) before it applies to you. Your continued use after the effective date of changes constitutes acceptance of the changed Terms, unless your law requires a different process.
